1. About These Terms

These Terms of Service ("Terms") form a legally binding agreement between you and LHT Media Limited (Company Registration Number 79832989), a private company limited by shares incorporated in the Hong Kong Special Administrative Region ("we", "us", "our", or "LHT Media"). They govern your access to and use of the website located at lht-media.com (the "Site") and any information, content, or features made available through it.

If you do not agree to these Terms, do not use the Site.

2. Scope

These Terms cover use of our public Site. Where we provide marketing advisory, advertising consultancy, content production, creator-partnership advisory, or related professional services to a client or partner, those services are governed by a separate written services agreement, statement of work, or insertion order signed between LHT Media and the relevant party (a "Services Agreement"). In the event of any conflict between these Terms and a Services Agreement, the Services Agreement shall prevail with respect to that engagement.

3. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Site. By using the Site, you represent that you meet this requirement and have the legal capacity to enter into these Terms.

4. Permitted Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for personal, lawful, non-commercial informational purposes, or for legitimate business purposes such as evaluating a potential engagement.

You agree not to:

• Use the Site in any manner that violates applicable law or these Terms.
• Attempt to gain unauthorized access to the Site, related systems, or networks.
• Reverse engineer, decompile, scrape, or otherwise extract data in violation of these Terms or applicable law.
• Use the Site to transmit malware, spam, or any malicious or harmful content.

5. Intellectual Property

Except for the limited license granted in Section 4, no rights are granted to you under these Terms. You may not copy, reproduce, modify, distribute, publicly display, or create derivative works of any content on the Site without our prior written consent or as otherwise permitted by law.

6. Submissions and Communications

If you submit information, feedback, suggestions, or other communications to LHT Media (other than personal data, which is governed by our Privacy Policy), you grant us a perpetual, worldwide, royalty-free, non-exclusive license to use, reproduce, and incorporate such submissions for the purpose of operating, improving, and marketing our services, without obligation to you. You represent that you have all rights necessary to grant this license.

7. Third-Party Links and Services

The Site may contain links to or integrate with third-party websites, platforms, or services (for example, social media or analytics providers). We are not responsible for the content, policies, or practices of such third parties. Your use of any third-party site or service is subject to that third party's own terms and policies.

8. Disclaimers

The Site and its content are provided "as is" and "as available", without warranties of any kind, whether express, implied, statutory, or otherwise, to the maximum extent permitted by applicable law. Without limiting the foregoing, LHT Media disclaims all warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, and uninterrupted or error-free operation.

Any information presented on the Site (including statistics, case examples, or performance figures) is for general informational purposes only and does not constitute a guarantee of results. Marketing outcomes depend on many factors outside our control.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall LHT Media, its directors, officers, employees, affiliates, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, data, business, or goodwill, arising out of or in connection with your access to or use of the Site, even if advised of the possibility of such damages.

To the extent any liability cannot be excluded by law, our aggregate liability arising out of or in connection with the Site shall not exceed one hundred United States dollars (USD 100). Liability arising from a Services Agreement is governed by the terms of that agreement.

10. Indemnification

You agree to indemnify, defend, and hold harmless LHT Media and its directors, officers, employees, affiliates, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with your breach of these Terms, your misuse of the Site, or your violation of any applicable law or third-party right.

11. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, including if we believe you have violated these Terms. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will continue in effect.

12. Changes to These Terms

We may update these Terms from time to time. The updated Terms will be posted on this page with a revised "Last Updated" date. Your continued use of the Site after the updated Terms take effect constitutes your acceptance of the changes.

13. Governing Law and Jurisdiction

These Terms, and any non-contractual obligations arising out of or in connection with them, are governed by the laws of the Hong Kong Special Administrative Region, without regard to its conflict of laws principles. Subject to mandatory consumer protection laws in your jurisdiction, you and LHT Media agree that the courts of Hong Kong shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Site.

14. Miscellaneous

• Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
• No waiver. Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.
• Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Entire agreement. These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and LHT Media regarding the Site.
